Critical Notice — Read Before Proceeding
By checking the agreement box at checkout or signing below, you acknowledge that you have read, fully understand, and voluntarily agree to all terms set forth in this Indemnity Waiver Agreement. This is a legally binding document that affects your legal rights.
This Indemnity Waiver Agreement for Research Peptides (“Agreement”) is entered into by and between the purchaser (“Buyer,” “you,” or “your”) and Southern Aminos, LLC (“Company,” “we,” “us,” or “our”). This Agreement governs the purchase, possession, handling, storage, and use of all research peptide products sold by Southern Aminos and constitutes a binding legal obligation upon your acceptance.
1. Purpose & Scope
Southern Aminos sells research peptide products strictly for laboratory and in-vitro research purposes only. These products are not intended for, and shall not be used for, any purpose other than legitimate scientific research conducted by qualified professionals in appropriate laboratory settings.
This Agreement sets forth the terms and conditions under which you may purchase and take possession of research peptide products from Southern Aminos. It defines the scope of permitted use, the risks you assume, the indemnification obligations you accept, and the waivers of liability you grant to Southern Aminos in connection with your purchase and possession of these products.
By purchasing any research peptide product from Southern Aminos, you represent, warrant, and covenant that you are a qualified research professional, laboratory technician, or authorized institutional representative acting within the scope of your professional duties and in compliance with all applicable laws and regulations.
2. Definitions
For the purposes of this Agreement, the following terms shall have the meanings ascribed to them below:
“Research Peptides”
All peptide-based products, compounds, and substances sold by Southern Aminos, including but not limited to synthetic peptides, peptide analogs, modified peptides, and peptide fragments in any form (lyophilized powder, reconstituted solution, or otherwise).
“Research Purposes”
In-vitro laboratory testing, analytical research, biochemical studies, and other scientific investigations conducted in a controlled laboratory environment by qualified personnel, and not involving any human or animal administration.
“Qualified Professional”
An individual who possesses the necessary education, training, credentials, and institutional authorization to conduct research involving peptide compounds, including but not limited to research scientists, laboratory technicians, pharmacologists, biochemists, and medical researchers.
“Prohibited Use”
Any use of Research Peptides that involves human or animal consumption, injection, ingestion, inhalation, topical application, or any other form of administration to a living organism, as well as any use for bodybuilding, athletic enhancement, cosmetic purposes, self-medication, or recreational use.
Any terms not explicitly defined herein shall have their ordinary meaning as understood in the context of scientific research and legal interpretation.
3. Not for Human Consumption
ALL RESEARCH PEPTIDES SOLD BY SOUTHERN AMINOS ARE STRICTLY NOT FOR HUMAN CONSUMPTION, INJECTION, INGESTION, INHALATION, OR ANY FORM OF ADMINISTRATION TO HUMANS OR ANIMALS.
These products have not been approved by the Food and Drug Administration (FDA) or any equivalent regulatory body for human or veterinary use. They are not drugs, medications, dietary supplements, or food products. They are chemical compounds intended exclusively for in-vitro laboratory research.
You expressly acknowledge and agree that the Research Peptides purchased from Southern Aminos are not intended to diagnose, treat, cure, or prevent any disease or medical condition in humans or animals. No statement on the Site, product labels, or accompanying documentation shall be construed as a claim that any Research Peptide is safe or effective for any therapeutic, diagnostic, or prophylactic purpose.
Southern Aminos explicitly prohibits the use of its products in any manner that could result in human or animal exposure. If you are not a qualified research professional operating in an appropriate laboratory setting, you are not authorized to purchase or possess these products.
4. Acknowledgments
By purchasing Research Peptides from Southern Aminos, you acknowledge, represent, and warrant the following:
You are at least 21 years of age
You are a qualified research professional or are purchasing on behalf of a recognized research institution, laboratory, or educational facility
You have the necessary knowledge, training, and equipment to safely handle, store, and dispose of Research Peptides in accordance with all applicable safety protocols and regulations
You understand that Research Peptides are not approved by the FDA or any regulatory authority for human or veterinary use
You understand the potential hazards, including but not limited to toxicity, allergic reactions, and unknown long-term effects, associated with Research Peptides
You are purchasing Research Peptides exclusively for legitimate in-vitro research purposes and have no intention of using them for any Prohibited Use
You are familiar with and will comply with all applicable federal, state, and local laws, regulations, and ordinances governing the purchase, possession, handling, storage, and disposal of Research Peptides in your jurisdiction
You will not resell, redistribute, or transfer Research Peptides to any third party without prior written authorization from Southern Aminos and verification that the recipient is a qualified professional or institution
You further acknowledge that Southern Aminos relies upon these representations and warranties in selling Research Peptides to you, and that any falsehood in these representations constitutes a material breach of this Agreement.
5. Assumption of Risk
You understand and acknowledge that Research Peptides are experimental chemical compounds that may carry inherent risks, including but not limited to:
Unknown short-term and long-term health effects from exposure through inhalation, skin contact, or accidental ingestion
Potential toxicity, carcinogenicity, mutagenicity, or teratogenicity that may not be fully characterized or documented in existing scientific literature
Risk of allergic reactions, sensitization, or anaphylaxis upon exposure
Environmental hazards associated with improper handling, storage, or disposal of peptide compounds
Risks associated with reconstitution, dilution, or combination with other substances in a laboratory setting
You voluntarily and knowingly assume all risks associated with the purchase, possession, handling, storage, use, and disposal of Research Peptides. You understand that Southern Aminos does not conduct clinical trials, safety studies, or efficacy testing on Research Peptides for human or veterinary use, and that the long-term effects of these compounds are not fully understood.
You agree that your decision to purchase and use Research Peptides is an informed decision made voluntarily, and that no representation, statement, or omission by Southern Aminos has induced you to act contrary to your own free will and judgment.
6. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Southern Aminos, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, suppliers, and any third-party information providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, causes of action, lawsuits, damages, losses, costs, expenses, and liabilities (including reasonable attorneys’ fees, expert witness fees, court costs, and settlement amounts) arising out of or related to:
Your purchase, possession, handling, storage, use, misuse, or disposal of any Research Peptides
Any injury, illness, harm, or death to any person or animal caused by or related to Research Peptides in your possession or control
Any property damage, environmental contamination, or other harm caused by or related to Research Peptides in your possession or control
Your violation of any term of this Agreement, including but not limited to using Research Peptides for any Prohibited Use
Your violation of any applicable federal, state, local, or international law, regulation, or ordinance
Any false representation or warranty made by you in connection with this Agreement or your purchase of Research Peptides
Any resale, redistribution, or transfer of Research Peptides by you to any third party
Southern Aminos reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Southern Aminos’ defense of such claim. This indemnification obligation shall survive the termination of this Agreement and the completion of any transaction between you and Southern Aminos.
7. Waiver of Claims
You hereby knowingly, voluntarily, and intentionally waive, release, and forever discharge Southern Aminos and the Indemnified Parties from any and all claims, demands, causes of action, lawsuits, damages, losses, and liabilities of any kind or nature, whether known or unknown, suspected or unsuspected, that you may now have or may in the future have against Southern Aminos or the Indemnified Parties arising out of or related to your purchase, possession, handling, storage, use, or disposal of Research Peptides.
This waiver includes, but is not limited to, claims for personal injury, wrongful death, property damage, economic loss, emotional distress, pain and suffering, punitive damages, and any other damages or losses of any kind.
California Civil Code Section 1542 Disclaimer: You expressly waive the protections of any statute or common law principle that would otherwise limit the scope of this waiver, including but not limited to California Civil Code Section 1542, which provides: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.” You hereby expressly waive the benefits of this and any similar provision.
8. Regulatory Compliance
You represent and warrant that you are familiar with and will comply with all applicable federal, state, and local laws and regulations governing the purchase, possession, handling, storage, use, and disposal of Research Peptides, including but not limited to:
The Federal Food, Drug, and Cosmetic Act (FD&C Act) and regulations promulgated thereunder by the FDA
The Controlled Substances Act (CSA), if applicable to any specific peptide compound
The Occupational Safety and Health Act (OSHA) and workplace safety standards
Environmental Protection Agency (EPA) regulations governing the disposal of chemical substances
State and local hazardous materials handling and disposal laws
Any applicable DEA regulations, scheduling requirements, or registration requirements
It is your sole responsibility to determine whether the purchase, possession, or use of any Research Peptide is lawful in your jurisdiction. Southern Aminos makes no representation or warranty regarding the legality of any specific product in any specific jurisdiction and reserves the right to refuse or cancel any order that it believes may violate applicable law.
9. Safe Handling & Storage
You acknowledge that you are solely responsible for the safe handling and storage of all Research Peptides purchased from Southern Aminos. You agree to:
Store all Research Peptides in a secure, climate-controlled environment in accordance with the specific storage requirements provided with each product (typically refrigerated at 2–8°C for lyophilized powder, or frozen at -20°C for reconstituted solutions, unless otherwise specified)
Use appropriate personal protective equipment (PPE) including gloves, lab coat, safety goggles, and respiratory protection when handling Research Peptides
Handle all Research Peptides in a properly ventilated area, preferably within a fume hood or biosafety cabinet
Keep all Research Peptides out of the reach of children, unauthorized persons, and animals at all times
Dispose of all Research Peptides, contaminated materials, and waste in accordance with all applicable federal, state, and local hazardous waste disposal regulations
Maintain accurate records of all Research Peptides in your possession, including quantities, storage conditions, and disposal
Southern Aminos provides storage and handling guidelines for informational purposes only and makes no guarantee that adherence to these guidelines will eliminate all risks associated with Research Peptides.
10. Prohibited Uses
Without limiting the generality of the foregoing, you expressly agree that you will NOT use any Research Peptides purchased from Southern Aminos for any of the following purposes:
Human consumption, ingestion, or injection
Animal administration or veterinary use
Bodybuilding or athletic enhancement
Cosmetic or anti-aging purposes
Self-medication or self-treatment
Recreational or experimental personal use
In-vivo testing on any living organism
Resale without proper authorization
Any use of Research Peptides for a Prohibited Use constitutes a material breach of this Agreement and may result in immediate termination of your right to purchase from Southern Aminos, as well as legal action to the fullest extent permitted by law.
11. No Warranties
SOUTHERN AMINOS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
Implied warranties of merchantability and fitness for a particular purpose
Warranties of accuracy, completeness, or reliability of any product descriptions, specifications, or documentation
Warranties regarding the purity, potency, stability, or safety of any Research Peptide
Warranties that any Research Peptide is free from defects, contaminants, or impurities
All Research Peptides are provided “AS IS” and “WITH ALL FAULTS.” Southern Aminos makes no representation that any Research Peptide is suitable for any particular research application or that any results obtained from the use of any Research Peptide will be accurate, reliable, or reproducible. The entire risk as to the quality and performance of any Research Peptide is with you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOUTHERN AMINOS OR THE INDEMNIFIED PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR PERSONAL INJURY, WRONGFUL DEATH, PROPERTY DAMAGE, LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO YOUR PURCHASE, POSSESSION, HANDLING, STORAGE, USE, OR DISPOSAL OF ANY RESEARCH PEPTIDE.
In no event shall the total aggregate liability of Southern Aminos to you for all claims arising from or related to this Agreement or your purchase of Research Peptides exceed the total amount actually paid by you to Southern Aminos for the specific Research Peptide(s) giving rise to the claim. This limitation of liability shall apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or any other theory, even if Southern Aminos has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law. This limitation of liability is an essential element of the bargain between you and Southern Aminos and shall not be construed against either party by reason of the drafting thereof.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in [County], [State]. You hereby irrevocably consent to the personal jurisdiction and venue of such courts, waive any objection based on inconvenient forum or lack of jurisdiction, and agree not to bring any action in any other court or forum. You agree to waive any right to a jury trial in connection with any action or litigation arising under or related to this Agreement.
14. Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from this Agreement. The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of this Agreement.
The provisions of this Agreement that by their nature should survive termination or expiration, including but not limited to indemnification, waiver of claims, limitation of liability, and governing law, shall survive the termination or expiration of this Agreement and shall continue in full force and effect.
15. Binding Agreement
This Agreement constitutes the entire agreement between you and Southern Aminos with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral. No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of that provision or any other provision.
