1. Sponsor

The Contest is sponsored by:

The Contest is in no way sponsored, endorsed, administered by, or associated with Instagram, Facebook, X (Twitter), TikTok, YouTube, or any other social media platform. Any questions, comments, or complaints regarding the Contest must be directed to the Sponsor and not to any social media platform.

2. Eligibility

The Contest is open to legal residents of the 50 United States and the District of Columbia who are 21 years of age or older at the time of entry. Entrants must have a valid mailing address in the United States.

The following individuals are NOT eligible to participate or win:

• Officers, directors, employees, contractors, and agents of Southern Aminos, LLC, its parent company, subsidiaries, affiliates, and advertising/promotion agencies
• Immediate family members (spouse, parents, siblings, children, and their respective spouses) and household members of any of the above individuals
• Individuals who have won a Southern Aminos contest or giveaway within the past 12 months
• Residents of any jurisdiction where this Contest is prohibited or restricted by law

The Sponsor reserves the right to verify the eligibility of any entrant and to disqualify any entrant who is found to be ineligible or who has provided false or misleading information.

3. Contest Period

The Contest begins on January 1, 2025, at 12:00:00 AM Eastern Time (“ET”) and ends on March 31, 2025, at 11:59:59 PM ET (the “Contest Period”). Entries received outside the Contest Period are void.

The Sponsor’s computer is the official time-keeping device for the Contest. All times referenced in these rules are Eastern Time unless otherwise specified.

4. How to Enter

There are multiple ways to enter the Contest. Each entry method is described below. You may use any or all entry methods, subject to the daily and total entry limits described in Section 5.

5. Entry Limitations

Multiple entries from the same person, whether from the same or different entry methods, are allowed up to the limits specified above. Entries exceeding these limits are void. The Sponsor reserves the right to disqualify any entrant who attempts to circumvent these limits through the use of multiple accounts, fake accounts, or any other deceptive means.

Incomplete, unreadable, illegible, or inaccurate entries are void. The Sponsor is not responsible for entries that are lost, late, misdirected, incomplete, or not received due to technical failures, human error, or any other reason.

A total of three (3) prizes will be awarded in this Contest. The prizes are as follows:

7. Odds of Winning

The odds of winning depend on the total number of eligible entries received during the Contest Period. Because each entry method carries a different number of entries per action, entrants who use more entry methods or enter on more days may have a higher number of total entries, which increases their mathematical probability of winning.

However, each individual entry — regardless of how it was obtained — has an equal chance of being selected in the random drawing. The Sponsor does not weight or favor entries from any particular entry method. The Sponsor cannot provide an estimate of the odds at this time as the total number of entries is unknown.

8. Winner Selection

Winners will be selected in a random drawing conducted on or about April 7, 2025, from all eligible entries received during the Contest Period. The drawing will be conducted under the supervision of the Sponsor, whose decisions are final and binding.

The selection process will proceed as follows:

• All eligible entries are pooled together and assigned a sequential number
• A random number generator (RNG) is used to select the Grand Prize winner first
• The Grand Prize winner’s entry is removed from the pool
• The process is repeated for the Second Prize and Third Prize winners
• Backup winners (up to 2 per prize tier) are also selected in case a primary winner is disqualified or fails to claim their prize

An individual may win only one (1) prize. If the same individual is selected for multiple prizes, they will be awarded the highest-value prize only, and the next eligible entry will be drawn for the lower-value prize.

9. Winner Notification

Winners will be notified using the contact information provided at the time of entry:

• Email: A notification email will be sent to the email address associated with the winning entry within 24 hours of the drawing. The email will contain instructions for claiming the prize.
• Direct Message: For social media entries, winners will also be contacted via Instagram Direct Message.
• Phone: If the winner does not respond to email or DM within 48 hours, the Sponsor may attempt to contact the winner by phone (if a phone number was provided).

Winners will also be announced publicly on the Southern Aminos Instagram account and website on or about April 15, 2025. The public announcement will include the winner’s first name, last initial, and state of residence (e.g., “John D. from Texas”).

10. Prize Claiming

To claim their prize, winners must:

• 1 Respond to the initial notification within five (5) business days of the notification being sent
• 2 Confirm their identity, age, and mailing address by completing and returning a Prize Claim Form (provided by the Sponsor)
• 3 Sign and return an Affidavit of Eligibility and Liability/Publicity Release (provided by the Sponsor)
• 4 For Second and Third Prize winners: provide their product selections within 10 business days of notification

If a potential winner fails to respond within the specified timeframe, fails to return the required documents, or is found to be ineligible, that winner will be disqualified and the prize will be awarded to an alternate winner selected from the backup pool. This process will repeat until a valid winner claims the prize or the backup pool is exhausted.

11. Prize Restrictions

• Prizes are non-transferable and may not be sold, bartered, or assigned to any other person
• No cash or other substitution of prizes is permitted, except at the Sponsor’s sole discretion
• If a prize becomes unavailable for any reason, the Sponsor reserves the right to substitute a prize of equal or greater value
• Store credit portions of prizes expire 12 months from the date of issuance and are subject to the terms and conditions of the Southern Aminos store
• Winners are responsible for any taxes on prizes. Depending on the prize value, the Sponsor may be required to file an IRS Form 1099-MISC with the IRS and provide a copy to the winner
• Products included in prizes are subject to the same terms, conditions, and disclaimers as products purchased through the Southern Aminos website, including the “Not for Human Consumption” disclaimer for research peptides

12. General Conditions

By participating in the Contest, entrants agree to abide by these Official Rules and the decisions of the Sponsor, which are final and binding in all respects. The Sponsor reserves the right to:

• Disqualify any entrant who is found to be tampering with the entry process, the operation of the Contest, or the Website
• Disqualify any entrant who uses automated systems, bots, scripts, macros, or any other technology to generate entries
• Disqualify any entrant who engages in unsportsmanlike conduct, harassment, or any behavior deemed inappropriate by the Sponsor
• Modify, suspend, or terminate the Contest if any fraud, technical failures, or any other factor beyond the Sponsor’s reasonable control impairs the integrity of the Contest
• Remove, disqualify, or void entries that are suspected of being fraudulent, duplicate, or submitted in bad faith

Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Contest may be a violation of criminal and civil law. In the event of such an attempt, the Sponsor reserves the right to seek damages from any such entrant to the fullest extent permitted by law.

13. Release & Indemnification

By entering the Contest, each entrant agrees to release and hold harmless the Sponsor, its parent company, subsidiaries, affiliates, advertising and promotion agencies, and each of their respective officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) from and against any and all claims, damages, liabilities, costs, and expenses of any kind arising out of or related to:

• Participation in the Contest or any Contest-related activity
• Acceptance, possession, use, misuse, or inability to use any prize
• Any technical or human error that may occur in the administration of the Contest
• Any malfunction, defect, or failure of any computer, cable, network, hardware, or software
• Any unauthorized human intervention in any part of the Contest
• Any printing, typographical, administrative, or other error in these Official Rules or in any Contest-related materials

Each entrant further agrees to indemnify and hold harmless the Released Parties from any claims, damages, or liabilities arising from the entrant’s participation in the Contest or the entrant’s breach of these Official Rules.

14. Publicity Rights

By entering the Contest and/or accepting a prize, each entrant and winner grants to the Sponsor and its designees the irrevocable, perpetual, worldwide, non-exclusive, royalty-free right and license to use, reproduce, publish, display, distribute, and create derivative works from the entrant’s:

• Name, likeness, photograph, voice, and/or biographical information
• Contest entry (including social media comments, posts, and stories)
• Image or video of the winner receiving or using the prize

This grant is for any purpose, including but not limited to advertising, marketing, promotion, and publicity, in any and all media now known or hereafter devised, without additional compensation, notification, or approval, except where prohibited by law. Winners may request that their full name not be used, in which case the Sponsor will use first name and last initial only.

15. Privacy

Information collected from entrants is used solely for the administration of the Contest and in accordance with the Southern Aminos Privacy Policy. Personal information provided at entry will not be sold, rented, or shared with third parties except as necessary for Contest administration (e.g., prize fulfillment, tax reporting) or as required by law.

Social media entries are subject to the privacy policies and terms of service of the respective social media platforms. The Sponsor does not control and is not responsible for the privacy practices of social media platforms. By entering through social media, you acknowledge and accept the applicable platform’s terms.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE CONTEST.

This limitation applies regardless of the legal theory on which the claim is based and even if the Released Parties have been advised of the possibility of such damages. In no event shall the total liability of the Released Parties exceed the ARV of the prize actually awarded to the claimant.

The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors, or by any of the equipment or programming associated with or utilized in the Contest; (b) technical failures of any kind, including but not limited to malfunctions, interruptions, or disconnections in phone lines, network, hardware, or software; (c) unauthorized human intervention in any part of the Contest; (d) technical or human error which may occur in the administration of the Contest; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt, use, or misuse of any prize.

17. Disputes & Governing Law

These Official Rules shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions. All disputes arising out of or related to the Contest shall be resolved exclusively in the state or federal courts located in [County], [State].

Each entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees; and (c) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, punitive, incidental, and consequential damages.

18. Right to Cancel / Suspend

The Sponsor reserves the right to cancel, suspend, or modify the Contest at any time, for any reason, including but not limited to:

• Technical failures, viruses, bugs, or other causes beyond the Sponsor’s reasonable control that corrupt or impair the administration, security, fairness, or integrity of the Contest
• Tampering, unauthorized intervention, fraud, or any other violation of these Official Rules
• Change in applicable law or regulation that makes the Contest unlawful or impractical
• Force majeure events including natural disasters, pandemics, government actions, or other circumstances beyond the Sponsor’s control

If the Contest is canceled or suspended before the scheduled end date, the Sponsor may, at its sole discretion: (a) determine the winners from all eligible entries received prior to the cancellation/suspension; (b) extend the Contest Period; or (c) terminate the Contest without awarding any prizes.

In the event of cancellation without prize award, the Sponsor is not obligated to offer any substitute compensation to entrants.
